Each party to these Terms and Conditions submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Sonoma, in the State of California, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce these Terms and Conditions, the prevailing party will be entitled to costs and attorney fees. In the event that any of the Terms and Conditions are held by a court or other tribunal of competent jurisdiction to be unenforceable, those provisions shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

9. Arbitration.

Notwithstanding any other term of these Terms and Conditions, any claims, disputes, or other matters in question between the parties to these Terms and Conditions shall be decided by arbitration in accordance with the current Commercial Rules of the American Arbitration Associations then in effect, unless the parties mutually agree otherwise in writing. Venue of any arbitration occurring pursuant to this Agreement shall be in Sonoma County, California at Sonoma Marin Business Directory�s executive offices or such other location in Sonoma County as designated by Sonoma Marin Business Directory within 30 days prior to the date of the arbitration hearing. The arbitration award shall be made in accordance with applicable California law, which the arbitrator shall be bound to follow pursuant to these Terms and Conditions. The award rendered by the arbitrators shall be final and judgment may be entered upon it in accordance with the applicable law in any court having jurisdiction thereof along with reasonable attorney's fees and costs to the prevailing party.

10. Entire Agreement

These Terms and Conditions, together with the Sonoma Marin Business Directory Privacy Policy, and any terms, conditions and forms on the Site, constitutes the entire agreement between You and Sonoma Marin Business Directory with respect to the subject matter of this Agreement , provided, however, that if you are a Service Provider as defined in that Sonoma Marin Business Directory Service Provider Agreement contained on this Site, then the Sonoma Marin Business Directory Service Provider Agreement is further incorporated herein by reference and made a part of these terms and conditions, and no representation or statement not contained in the main body of this Agreement or shall be binding on Sonoma Marin Business Directory or You as a warranty or otherwise. In its sole discretion, Sonoma Marin Business Directory may modify these Terms and Conditions by posting the revised version on this Site at any time.

11. No Unlawful or Prohibited Purpose

As a condition of your use of this Site, you warrant to Sonoma Marin Business Directory that you will not use the Site for any purpose that is unlawful or prohibited by these Terms and Conditions.
